VCI Institute ยท ALBOM Masterclass

Leverage does not create value. It concentrates the consequences.

Of whether you did. Structure first, model second.

ALBOM, the Advanced Leveraged Buyout Masterclass, teaches the structure of a leveraged buyout before the model, because a model built without understanding the structure produces confident nonsense. Then it has you build the model.

  • Eleven lessons, from LBO mechanics and structuring to a comprehensive capstone simulation.
  • The Practical LBO Build: the Northbridge case, from a blank model to returns and a value bridge.
  • The VCII Value Creation Sandbox, with the leverage line plotted against the covenant on every screen.

One payment. No prerequisites, self paced. A masterclass with a Certificate of Completion, not a certification.

in brief

What is ALBOM?

ALBOM, the Advanced Leveraged Buyout Masterclass, is a self paced VCI Institute masterclass on how leveraged buyouts are structured, valued, modelled, financed and run. It has eleven lessons and the Practical LBO Build on the Northbridge case, includes the VCII Value Creation Sandbox and awards a Certificate of Completion.

The idea behind it

A ten per cent fall in value costs an unleveraged holder ten per cent. At seventy per cent debt it costs the equity a third. Leverage does not create value; it concentrates the consequences of whether you did.

So ALBOM puts structure first and the model second. Once you can say who carries which risk, the spreadsheet stops being a source of confident nonsense and becomes an argument you can defend.

10 off 100 is 10%. 10 off an equity cushion of 30 is 33.3%.

What you will be able to do

  • Read a capital structure and say who carries which risk, and when.
  • Build an LBO model from a blank sheet: drivers, operating model, sources and uses, debt schedule, three statements, returns.
  • State what has to be true for the return, and defend the model when it is questioned.
  • Test a deal across many outcomes rather than one hopeful base case.
  • Run a business under debt with covenant headroom, cash and the plan in view.
  • Supervise an AI assistant on model work without handing it the judgement.

the leverage ledger

Ten per cent off the business. A third off the equity.

Choose how much of the purchase is debt and how far enterprise value falls. The equity loss is the fall divided by the equity share: EV fall รท (1 minus debt share). Every figure below reconciles to that one line.

Try a structure

Illustrative arithmetic on an enterprise value of 100. Debt is held at its opening level, so the whole fall lands on the equity until the equity is gone.

Equity loss

33.3%

Against 10.0% for an unlevered holder. Leverage multiplied the fall by 3.33.

Six stages. Six things to produce.

Every stage of a buyout has an output you should be able to put on the table, and a red flag that says the deal is in trouble. Open each one.

Sourcing

Taught in Lessons 1 and 5

Leverage here: the price you can pay depends on the debt you can raise, so the thesis has to survive both.

Output to produce

  • Target list
  • Written investment thesis
  • Market map

Red flag to watch

  • No proprietary angle: you are bidding on the same book as everyone else.

Where ALBOM covers it

  • Lesson 1: Introduction to Leveraged Buyouts
  • Lesson 5: Practical case studies

Diligence

Taught in Lessons 4 and 5

Leverage here: every risk you miss is a risk the equity carries at three times the weight.

Output to produce

  • Diligence report
  • Risk matrix
  • Management assessment

Red flag to watch

  • Confirmation bias: reading the evidence for the deal you already want.

Where ALBOM covers it

  • Lesson 4: Strategic Execution
  • Case studies in private equity

Modelling

Taught in Lessons 3, 6 and 7

Leverage here: small changes in the drivers make large changes in the equity, so the drivers must be explicit.

Output to produce

  • LBO model with base, upside and downside cases

Red flag to watch

  • Hockey stick revenue with no clear drivers.

Where ALBOM covers it

  • Lesson 3: Valuation and Modelling Techniques
  • Lesson 6: LBO Excel and Modelling Primer
  • Lesson 7: Monte Carlo simulations
  • Practical LBO Build, Builds 03 to 08

Financing

Taught in Lesson 2

Leverage here: every turn of debt you add is headroom you no longer have.

Output to produce

  • Term sheet summary
  • Debt schedule
  • Covenant analysis

Red flag to watch

  • Tight coverage with no cushion.

Where ALBOM covers it

  • Lesson 2: LBO Mechanics and Structuring
  • Practical LBO Build, Builds 09 to 12
  • Comparative analysis of financing structures

Value creation

Taught in Lesson 4

Leverage here: cash pays down debt, so operating discipline shows up directly in the equity.

Output to produce

  • 100-day plan
  • KPI scorecard
  • Bridge to exit

Red flag to watch

  • Too many priorities and no clear ownership.

Where ALBOM covers it

  • Lesson 4: Strategic Execution
  • LBO value creation metrics
  • Crisis management in LBOs

Exit

Taught in Lesson 11

Leverage here: the buyer prices the business, and the debt is repaid first. The equity gets what is left.

Output to produce

  • Exit memo
  • Buyer list
  • Data room checklist

Red flag to watch

  • Unresolved issues surfacing late in the process.

Where ALBOM covers it

  • Innovative exit strategies in LBOs
  • Practical LBO Build, Builds 15 to 17
  • Lesson 11: Capstone simulation

the curriculum

Eleven lessons and a model you build yourself.

The lessons put structure first. The Practical LBO Build then turns it into a working model. A short pre-assessment at the start shows you where to spend your time.

the covenant is always on screen

Run a levered plan before you have to.

ALBOM includes the VCII Value Creation Sandbox, a gamified value creation simulator. Nothing in it is random, so every outcome traces back to a decision you made.

The VCII Value Creation Sandbox

Choose one of five mandates and run it across twelve quarters. The leverage line is plotted against the covenant on every screen, and breaching it costs a fee, a spending cap and your discretion. One of the five is a thin margin logistics business with almost no headroom.

At exit a buyer prices what you built, and the value bridge splits the gain into EBITDA growth, multiple change and debt paydown.

ALBOM is for you if

  • You are a deal or investment professional who wants the structure, not just the spreadsheet.
  • You run part of a levered business and inherited a capital structure you did not choose.
  • You lend to, or advise on, leveraged buyouts.
  • You are moving toward the industry and want to build an LBO model properly once.

It is not the right buy if

  • You need a certification. COPPE Level 2 is the quantitative certification.
  • You want the whole private equity arc first. APEX is built for that.
  • You want live classes. ALBOM is self paced and asynchronous.

where it leads

ALBOM teaches the leverage. COPPE Level 2 examines it.

When you want a certification that tests the numbers, the Certified Operating Partner in Private Equity track is the next step.
